Directors and Officers Liability Insurance

A Directors & Officers (D&O) insurance policy is an insurance for corporate executives. It protects them against personal liability risks that may arise from their activities.

These are risks that may arise from business management, corporate leadership, or supervisory board activities.

D&O insurance provides coverage in the event that an executive is held responsible for a loss and must be held personally liable for it. In this case, the insurance covers the claims for damages and any incurred legal and court costs.

It should be noted here that a D&O insurance policy does not provide protection for intentional or, in some cases, grossly negligent actions by executives. However, a good D&O insurance policy should offer the most comprehensive coverage possible and be tailored to the specific needs of the company.

Typical examples of damage

Typical examples of damage for which a D&O insurance can provide coverage include:

  • Breach of duty of care
  • Violations of laws or regulations
  • Management errors
  • Embezzlement of funds or fraud
  • Copyright infringement

In these cases, claims for damages can arise that are directed straight at the executive.

Without D&O insurance, in the worst-case scenario, it would be forced to cover the damages with its personal assets.

A D&O insurance is particularly recommended for companies and industries where the liability risks for executives are especially high. These include, for example, companies with a high:

  • Number of employees
  • Technological dependence
  • regulatory dependence
  • public perception (e.g., media or sports companies)

Companies that are undergoing restructuring processes or are seeking an initial public offering should also consider D&O insurance. In any case, an individual risk assessment should be conducted to determine whether D&O insurance is advisable.

The amount of insurance coverage and the premium of the D&O insurance depend on various factors, such as the size of the company, the industry in which it operates, and the number of executives.

The amount of the sum insured should be coordinated in such a way that, in an emergency, it is sufficient to cover the damage. A sum that is too low can result in the company being additionally liable in the event of a claim. D&O insurance is an important protection for executives to shield themselves against the personal liability risks associated with their activities.
